Welcome to PocketAgent. PocketAgent is a self-help software platform that helps home buyers who choose to be unrepresented organize and complete a residential purchase: searching a property, drafting an offer, and working through inspection, escrow, and closing. PocketAgent is not a real estate brokerage and not a law firm, and it does not represent you in any transaction. Please read these Terms carefully; they include important disclaimers, payment terms, and limitations of liability.
1. Acceptance of Terms
These Terms of Service ("Terms") are a binding agreement between you and PocketAgent LLC ("PocketAgent," "we," "us," or "our") governing your access to and use of the PocketAgent website, applications, and related services (collectively, the "Services"). By creating an account, clicking to accept, or using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference.
You must be at least 18 years old and able to form a legally binding contract to use the Services. By using the Services you represent that you meet these requirements. If you do not agree to these Terms, do not use the Services.
2. Description of Services
PocketAgent is a self-help software platform for home buyers who choose to purchase residential real estate without a buyer's agent. The Services currently operate for properties located in South Carolina (statewide) and in select Florida counties. Our service area may change over time, and a property search may be declined if the property is outside the area we currently support.
- Property search and address verification, with market and public-record data sourced from third-party data providers.
- Step-by-step drafting of a state-specific residential purchase agreement (an offer letter) generated from information you enter.
- A guided transaction workflow covering stages such as pre-approval, touring, document requests, sending an offer, inspection, attorney or title-agent search, appraisal, escrow, negotiation, insurance, final walk-through, and closing.
- Document storage, checklists, and note-taking tied to your transaction.
- Electronic signature tools for documents you choose to sign.
- Directories of third-party professionals (such as home inspectors, South Carolina closing attorneys, and Florida title companies) compiled from public sources.
- An AI-powered assistant that provides general educational information about the home-buying process.
- Customer support messaging with PocketAgent representatives.
We may add, modify, suspend, or discontinue features at any time. Some features are subject to reasonable usage limits (for example, a monthly cap on property searches and assistant messages) to control the cost of third-party services.
3. No Real Estate Brokerage Services
PocketAgent is not a real estate broker or brokerage, is not licensed to practice real estate in any state, and does not perform any activity that requires a real estate license. We do not represent you or any other party in a real estate transaction.
- We do not show properties or arrange, schedule, or attend showings. Features that help you tour a property only generate draft messages that you review and send yourself, directly to the listing agent or seller.
- We do not negotiate price or terms on your behalf, deliver offers for you, or communicate with sellers, listing agents, lenders, or closing professionals on your behalf.
- We do not procure buyers or sellers, hold ourselves out as your agent, or accept, share, or rebate real estate commissions.
- Professional directories in the Services are informational listings, not referrals, endorsements, or brokerage activity.
PocketAgent does not recommend any purchase price, offer amount, escalation amount, concession, inspection request, repair request, appraisal position, negotiation strategy, or maximum bid. Any calculators, comparable data, estimates, or summaries are informational only.
If you want representation, you should engage a licensed real estate agent or broker. Nothing in the Services is a substitute for one.
4. No Legal, Tax, Financial, Mortgage, Title, Inspection, or Appraisal Advice
PocketAgent is not a law firm, accounting firm, lender, mortgage broker, title company, insurance producer, home inspector, or appraiser, and we are not your attorney. The Services, including the AI assistant, document templates, checklists, calculators, deadline reminders, and educational content, provide general information and self-help tools only. They are not legal, tax, financial, mortgage, title, insurance, inspection, or appraisal advice, and they are not a substitute for the advice of a licensed professional who knows your specific situation.
Communications with the AI assistant or with PocketAgent support do not create an attorney-client, fiduciary, or advisory relationship. AI-generated content is produced automatically and is not reviewed by an attorney, broker, lender, inspector, appraiser, title professional, or other licensed professional. You should not rely on AI output as the sole basis for any transaction decision, and AI-generated responses must be independently verified before you rely on them.
Real estate law differs by state and changes over time. Before you sign or deliver any document, we strongly encourage you to have it reviewed by a licensed real estate attorney in the state where the property is located (in Florida, a licensed title agent or attorney as appropriate).
For South Carolina transactions, you understand that a licensed South Carolina attorney may be required to conduct or supervise certain aspects of a residential real-estate closing, including title-related and closing functions. PocketAgent does not perform those functions.
5. User Is Responsible for All Transaction Decisions
You make every decision in your transaction. That includes, without limitation: whether and how much to offer; which contingencies to include, waive, or release; all dates and deadlines (such as inspection or due-diligence periods, financing deadlines, and closing dates); whether to sign, deliver, amend, or terminate any agreement; which professionals to hire; and whether and when to send money to any party.
You are responsible for reading every document before signing it, for verifying that generated documents accurately reflect your intentions, and for tracking and meeting every deadline in your contract. Calendar features and reminders in the Services are conveniences, not guarantees, and missing a contractual deadline can have serious financial and legal consequences, including loss of deposits or of the transaction itself.
PocketAgent does not monitor whether sellers, agents, lenders, attorneys, title companies, inspectors, or other parties receive, review, accept, reject, counter, or respond to any communication or document. You are solely responsible for confirming delivery, receipt, deadlines, acceptance, counteroffers, amendments, contingencies, and termination rights.
PocketAgent never holds, transmits, or escrows transaction funds. Earnest money and closing funds move directly between you and the escrow agent, closing attorney, or title company you select. Always verify wiring instructions by phone using an independently obtained number before sending funds.
6. No Agency or Fiduciary Relationship
Your use of the Services does not create an agency, fiduciary, attorney-client, broker-client, advisory, or employment relationship between you and PocketAgent. We do not owe you the duties a real estate licensee, attorney, or other fiduciary would owe a client, such as duties of loyalty, confidentiality (beyond our Privacy Policy), or full disclosure relating to a transaction.
You acknowledge that when you communicate with a listing agent, that agent represents the seller, not you, and owes their duties to the seller.
7. User-Directed Communications
Several features generate draft emails or messages (for example, a tour request or a disclosure-document request addressed to a listing agent). These drafts are templates prepared from information you provide. You decide whether to use them, you may edit them freely, and you send them yourself from your own email or phone. PocketAgent does not send communications to sellers, agents, or other transaction parties on your behalf.
You are solely responsible for the content, accuracy, and consequences of any communication you send, and for complying with any applicable laws when contacting other people.
8. Document Templates and Generated Forms
The Services may generate draft offer documents, cover letters, purchase agreement drafts, addenda, checklists, and related transaction documents based on the information you enter. These are drafts. We do not review them for you, we do not confirm they are complete, current, accurate, or suitable for your transaction, and laws or customary forms may have changed since a template was last updated.
By using our electronic signature tools you consent to transact business electronically and agree that your electronic signature is intended to have the same force and effect as a handwritten signature, consistent with the federal ESIGN Act and applicable state electronic transaction laws. You control where your signature is applied, and you are responsible for reviewing the final document before and after signing. You may request paper alternatives from your transaction counterparties; PocketAgent does not control whether other parties accept electronic signatures.
Documents you generate or upload are stored in your account for your convenience. You should download and keep your own copies of all signed documents.
9. Property Data and Third-Party Information
Property details, valuations, listing data, tax records, legal descriptions, owner information, agent contact details, and similar data shown in the Services come from third-party data providers (including RentCast) and public records. This information is provided as-is and may be incomplete, outdated, or incorrect. PocketAgent does not verify it.
Property valuations and automated value model (AVM) estimates shown in the Services are produced by third-party algorithms for general informational purposes only. They are not appraisals, broker price opinions, or definitive forecasts or opinions of value. The inclusion of any third-party report, valuation, listing, or estimate in the Services does not create an advisory, fiduciary, or other relationship between you and the data provider, and is not an endorsement by the data provider of PocketAgent, any listing, or any third party.
Listing data, MLS data, and public-records data shown in the Services may be subject to additional terms imposed by the original source. You receive a limited right to view this data inside the Services for your personal residential purchase activity only. You may not scrape, redistribute, repackage, resell, store outside the Services, or bulk-export third-party data from the Services.
You must independently verify any information you rely on, including the legal description, parcel number, taxes, association obligations, flood status, and property condition. Third-party data in the Services is not a substitute for a title search, survey, appraisal, or professional inspection.
10. Electronic Communications
By creating an account and using the Services, you consent to receive notices, disclosures, account messages, support messages, and other communications from PocketAgent electronically, including by email, in-app notice, or posting through the Services. To the extent permitted by law, electronic delivery satisfies any legal requirement that those communications be in writing and signed.
You may withdraw this consent by closing your account; doing so may mean we can no longer provide the Services to you. You are responsible for keeping the email address on your account current so we can reach you.
11. User Accounts and Security
You must provide accurate, current, and complete information when creating an account and keep it up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify us promptly of any unauthorized access or use of your account.
You may maintain only one account, and accounts are personal to you. We may suspend or limit accounts that we reasonably believe are compromised, shared, automated, or used to circumvent usage limits.
12. Acceptable Use
The Services are designed only for individual consumers seeking to purchase residential property for themselves. The Services are not designed for sellers, listing agents, buyer's agents, brokers, wholesalers, investors acting for others, property managers, commercial transactions, or anyone using the Services to provide services to third parties.
You agree to use the Services only for your own personal residential purchase activity and in compliance with all applicable laws. You will not:
- Use the Services to provide services to third parties, including using generated documents or the AI assistant to practice law, brokerage, or any licensed profession for others.
- Upload content that is unlawful, infringing, fraudulent, or that you do not have the right to share.
- Scrape, harvest, or bulk-download data from the Services, or access the Services with automated means other than standard browsers.
- Probe, disable, overload, or interfere with the Services or their security features, or attempt to access another user's data.
- Reverse engineer, copy, resell, or create derivative works from the Services, except as allowed by law.
- Circumvent usage limits, access controls, or service-area restrictions.
- Harass or abuse PocketAgent staff or misuse support channels.
We may investigate violations and may suspend or terminate accounts that violate this section.
13. Fair Housing, Anti-Discrimination, and Lawful Communications
You agree to use the Services in compliance with the federal Fair Housing Act, the South Carolina Fair Housing Law, the Florida Fair Housing Act, and other applicable anti-discrimination, consumer-protection, and communications laws.
You may not use the Services to discriminate or express preferences based on race, color, religion, sex, national origin, familial status, disability, or any other characteristic protected by federal, state, or local law; to violate fair-housing laws; to send unlawful marketing messages; to impersonate others; or to misrepresent your identity, financing, intent, authority, or transaction status.
14. Ownership and License
PocketAgent owns the Services, software, workflows, templates, text, designs, databases, and other content, except for content you upload and third-party materials. You receive a limited, revocable, non-transferable, non-sublicensable license to use the Services for your personal residential purchase activity, subject to these Terms. No other rights are granted by implication, estoppel, or otherwise. We may revoke this license if you violate these Terms.
You retain ownership of the content you upload. You grant PocketAgent a limited, non-exclusive license to host, store, process, display, transmit, and back up that content as needed to operate the Services for you and to support audit-trail and legal-retention obligations.
15. Payments, Access, and Refunds
Use of the Services is sold per purchase. Each payment is a one-time charge that entitles you to unlimited property searches and to start one (1) residential Offer Letter (purchase agreement), with access to the guided deal workflow for that purchase. It is not an automatically renewing subscription. Payment is collected through our third-party payment processor's hosted checkout, and we do not receive or store your full card number. Pricing in effect at the time of your purchase applies to that purchase.
Purchase fee and term. The current fee is five hundred U.S. dollars ($500.00) per purchase. Each purchase entitles you to unlimited property searches and to start one (1) Offer Letter, with workflow access for nine (9) months from the date of payment. Starting an Offer Letter permanently uses that purchase; to run a second purchase at the same time (for example, to pursue two homes), you buy an additional purchase. Your access does not auto-renew and you will not be charged again automatically. If you have an active residential purchase transaction in progress at the end of your nine-month window, you may request an extension at no additional charge; we will respond to extension requests in our reasonable discretion. Fees and term length may change for future purchases; any change will be shown before you complete that purchase.
Your documents and expiration. When a purchase's nine-month window ends, you keep access to that purchase and its documents to view and continue working; only searching for or starting new purchases requires buying again. If you need more time on an active deal, ask in your support chat and we can extend it. There is no recurring subscription to cancel. If you would like a refund, contact support and the refund schedule below applies.
Refund schedule. Refunds are calculated based on how far you have progressed in the Services, not on when you request the refund:
- Full refund (100%) if you request a refund before drafting a purchase agreement (the offer-letter wizard has not been used to generate a draft).
- Seventy-five percent (75%) refund if you have drafted a purchase agreement but your transaction has not reached the inspection stage.
- Fifty percent (50%) refund if your transaction is past inspection but you have not started the homeowners-insurance or final walk-through stage.
- No refund once you have started the homeowners-insurance or final walk-through stage.
Payment is for software access only. The access fee is paid for access to the PocketAgent software and is not a real-estate deposit, earnest-money payment, commission, success fee, contingent fee, brokerage compensation, or referral fee. The fee is due regardless of whether your offer is accepted, your transaction closes, or you ever sign a purchase agreement. Under applicable real-estate licensing laws, fees for software access cannot be made contingent on the outcome of a real-estate transaction. If your transaction does not close, the refund schedule above still applies; for example, a transaction that fails after a completed inspection is governed by the fifty-percent (50%) refund tier.
Payment and access. You receive access once your payment is completed through our processor's checkout. If a payment is not completed, access is not granted. If a completed payment is later refunded, reversed, or charged back, we may end or suspend your access.
Chargebacks. Disputes about a charge should be raised with PocketAgent support first so we can investigate and apply the refund schedule above. Filing a chargeback without first contacting us may result in immediate suspension or termination of your account. If a chargeback is filed and we determine the charge was valid under these Terms, we may pursue recovery of the disputed amount and any related fees.
Taxes. Prices are stated exclusive of any applicable sales, use, value-added, or similar taxes. Where we are required to collect such taxes, they will be added to your charge based on the billing address associated with your payment method. You are responsible for any taxes you owe under applicable law that we do not collect.
Unused features. The fee is a flat charge for access to the Services for the term. Beyond the refund schedule above, we do not pro-rate, refund, or credit unused features, stages, or capacity.
No transaction funds. PocketAgent never collects, holds, transmits, or disburses earnest money, down payments, closing funds, or any other transaction funds. Payments to PocketAgent are for software access only.
16. Third-Party Providers and Directories
The Services include directories of independent third-party professionals, such as home inspectors, South Carolina closing attorneys, and Florida title companies, compiled from public sources. These listings are provided for your convenience only. PocketAgent does not employ, control, supervise, recommend, or endorse any listed provider, does not verify their licensure, insurance, availability, or quality of work, and receives no referral fees from them.
Any engagement you enter with a provider is solely between you and that provider. You are responsible for vetting providers, confirming their license status with the appropriate state authority, and negotiating your own terms. PocketAgent is not a party to, and has no liability arising from, your dealings with any third-party provider.
17. Disclaimers
THE SERVICES, INCLUDING ALL CONTENT, DOCUMENTS, DATA, DIRECTORIES, AND AI-GENERATED OUTPUT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND NON-INFRINGEMENT.
WITHOUT LIMITING THE FOREGOING, POCKETAGENT DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE; THAT GENERATED DOCUMENTS ARE LEGALLY SUFFICIENT, ENFORCEABLE, OR CURRENT; THAT PROPERTY DATA IS ACCURATE; THAT ANY OFFER WILL BE ACCEPTED; THAT ANY TRANSACTION WILL CLOSE; OR THAT USING THE SERVICES WILL SAVE YOU MONEY COMPARED TO ANY ALTERNATIVE. YOU USE THE SERVICES AT YOUR OWN RISK.
Some jurisdictions do not allow the exclusion of certain warranties, so some of the above exclusions may not apply to you.
18. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POCKETAGENT AND ITS OWNERS, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, DEPOSITS, EARNEST MONEY, SAVINGS, DATA, GOODWILL, OR TRANSACTION OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, POCKETAGENT'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) ONE HUNDRED U.S. DOLLARS ($100) OR (B) THE AMOUNTS YOU PAID TO POCKETAGENT FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.
THE LIMITATIONS IN THIS SECTION APPLY TO ALL CLAIMS, WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE, AND ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND POCKETAGENT. Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.
19. Indemnification
You agree to defend, indemnify, and hold harmless PocketAgent and its owners, officers, employees, and agents from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use or misuse of the Services; (b) your real estate transactions and your dealings with sellers, agents, lenders, providers, or other third parties; (c) content or documents you upload, generate, sign, send, or rely on; (d) your violation of these Terms; or (e) your violation of any law or the rights of any third party.
20. Termination
You may stop using the Services and request account deletion at any time, subject to the refund schedule in the Payments section. We may suspend or terminate your access to the Services at any time, with or without notice, if we reasonably believe you have violated these Terms, if required by law, or if we discontinue the Services.
Upon termination your right to use the Services ends. You should download copies of your documents before your account is closed; we may delete stored content after termination, subject to our Privacy Policy and legal retention obligations. Sections of these Terms that by their nature should survive termination (including ownership, payment obligations, disclaimers, limitations of liability, and indemnification) survive.
21. Governing Law
These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Except where prohibited by applicable law, you and PocketAgent agree to the exclusive jurisdiction and venue of the state and federal courts located in South Carolina for any such dispute, and each party waives any objection to that venue.
Nothing in this section limits any non-waivable consumer protection rights you may have under the laws of the state where you live.
22. Changes to Terms
We may update these Terms from time to time. If we make material changes, we will provide notice by reasonable means, such as posting the updated Terms on this page with a new "Last updated" date, in-app notice, or email. Changes take effect when posted unless stated otherwise. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, stop using the Services.
